TERMS & CONDITIONS
Definitions:
“Services” refers to the services offered by Venture Technology Enterprise . These services include website design, web hosting, Search Engine Optimization (SEO) and hardware maintenance.
“Client” refers to customers of Venture Technology Enterprise . The said customers refer to companies and businesses that are the existing pool of customers as well as prospective customers of Venture Technology Enterprise .
"Venture Technology” refers to Venture Technology Enterprise .
Preparatory of Materials
All contents and pictures are to be prepared and supplied by the client unless copywriting service and photo package have been ordered by client. Venture Technology will hold no responsibility in preparing the contents and pictures on behalf of the client.
Preparatory work performed at the client's request, such as sketches, drawings, composition, disks, plates, presswork and materials will be charged according to the prevailing rates of Venture Technology.
Production Schedule/ Delivery of Project
Venture Technology shall not be responsible for delays in the completion of the project due to actions of the clients. In the event of such occurrence, the delivery shall be extended on a mutually agreed date.
Production schedules, once established, shall be final. However, in the event of war, riot, civil disorder, fire, labour trouble, strikes, energy failure, equipment breakdown, delay in suppliers, action of the government or civil authority and acts of GOD or other causes beyond our control, the delivery date shall be extended to a mutually agreed date.
Venture Technology shall try to work towards meeting the client's requirement as negotiated. Once the client agrees or accepts the final products in writing, Venture Technology shall not be responsible for any errors contained therein.
Cancellation
In the event of cancellation of the project, the client will be liable for payment of 50% of agreed total fee for cancellation of project after presentation of the first visual.
Ownership of all copyrights and original artwork and disks shall be returned and retained by Venture Technology, and a fee for work completed, based on the contract price expenses already incurred, shall be paid by the client.
Confidentiality
All correspondence and documents provided will be treated as confidential between the client and Venture Technology, unless both parties involved have granted consent.
Indemnity Agreement
The client shall further agree to indemnify and hold Venture Technology harmless for claims of any nature whatsoever pertaining to the services and goods provided. This includes the loss of customer furnished proofs and materials, missing projected deadlines set for the completion of work, and loss of any information stored in Venture Technology ‘s computers and systems. Additionally, this Indemnify Agreement includes claims relating to any software or other copyrightable materials furbished by the client, and from any and all copyright claims and/or misappropriations of trade secrets and/or any claim of theft of proprietary information.
Other Clauses
Incidentals have been excluded in the budget. These are cost incurred for miscellaneous out-of-pockets expenses that have not been outlined above. The cost will be charged to the client as spent with the client's approval.
The client shall bear all consequences and responsibilities to ensure that any work or images given to us do not infringe any COPYRIGHTS, TRADEMARKS, PATENTS, or LICENSING OR ENDORSEMENTS FOR PERMISSION TO USE and other legal requirements. Any legal litigation brought forward will be physically and financially bear by the client.
First 2 changes are complimentary upon confirmation of the project. Subsequent changes made by the client will be charged at 30% of the Creative Concept & Development cost.
Design Procedure
Step 1
Firstly, we would meet up with our prospective clients to collect some important information. The information we gathered will be inserted into a creative brief as a clear guideline for our designers to work on.
Information required from clients:
A list of contents or a skeletal draft of what the design should have. For website projects, a flow chart and the different pages to be contained (e.g. About Us, Corporate Profile, etc.)
A colour scheme. Most clients tend to match the colours used on their business cards and company/ outfit stationery. This will ensure continuity and establish a corporate identity with the use of these selected colours.
All artworks, pictures and/ or sound clips that the client wishes to include in their project.
Any other information that may help in designing and conceptualizing: provide website addresses of other preferred websites for sampling and reference or copies of various design projects and works if available.
Step 2
Based on the creative brief we will prepare a quotation. Once the quotation has been signed and fax back to us to confirm your order, we will proceed ahead with a design mock up on the look-and-feel of the website based on requirements. Client will then be required to provide all remaining content to be used in the project unless the client has accepted our copywriting service.
Step 3
Our designers will begin the work process with all available materials. Any further additions or alterations may be done during the last step of the modification, and if there are no further requests for changes, we will deliver the completed designs within the agreed time frame.
Step 4
Upon initial completion, we will need the client to sign the Acknowledgment of Completion and return it to us by post before we proceed with any modifications.
Step 5
Clients have 3 rounds of changes, or are allowed up to 3 rounds of modifications within a period of 15 days. The client may email the required changes to us. If the modifications are complex, we will meet up with the client again to discuss them. Additional charges of S$120 will apply for each subsequent change once 3 separate modifications have been made.
Payment Terms
50% of agreed total fee payable upon signatory of quotation. Remaining 50% of agreed total fee payable upon completion and delivery of project
